Welcome to ConstructCo ("we," "our," "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, mobile application, and services (collectively, the "Platform"). By using our Platform, you ("you," "user," "buyer," "seller," or "vendor") agree to comply with these Terms. If you do not agree, you must discontinue use of the Platform. This Policy applies to all Buyers, Sellers, Service Providers, and Delivery Partners. Certain sections may not be relevant to your role.

1. ELIGIBILITY & ACCOUNTS

You must be at least 18 years of age to use our services. You agree to provide accurate, complete, and up-to-date information during registration and transactions. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.

1A. Additional Account Terms

Authentication is OTP-based. You must not share OTP codes with any third party. One email address may only be associated with one account. If an account is deleted, the associated email address cannot be reused for a new account (see Section 10 on Termination). You may register as a Buyer, Seller, Delivery Partner, or Service Provider. Each role has specific onboarding requirements as described in Section 2A. Logged-out users may browse products and Seller Shops using location-based access (via GPS or manual pin code entry) but must create an account and log in to place orders, contact Sellers, request services, or access transaction history.

2. NATURE OF SERVICES

ConstructCo is an intermediary platform that connects buyers and sellers of construction materials and services through our freelancing fleet of delivery partners or third party/company delivery partners. We do not directly sell construction materials; all transactions are between buyers and sellers/vendors. We may provide additional services such as logistics, delivery staff, order tracking, and payment processing support.

2A. User Roles & Onboarding Requirements

2A.1 Buyers: registration requires name, email, phone number, and OTP verification. At least one delivery address must be saved before placing an order. GST number is optional but may be provided for GST invoice purposes.

2A.2 Sellers/Vendors: registration requires valid business identification — GST number, PAN number, and bank account details for settlement. Sellers must set up a Seller Shop with shop name, shop location (geographic coordinates), opening and closing hours, delivery radius, and delivery zones/geohashes. Sellers must list products with accurate names, descriptions, photos, prices, stock levels, weights, dimensions, brands, and categories. Sellers are responsible for keeping inventory, pricing, operational status, and shop hours up to date at all times. Orders accepted while the shop is marked as open are binding on the Seller. Sellers agree to ConstructCo's Platform Fee, commission, and TCS deduction terms as described in Section 3A.

2A.3 Delivery Partners/Drivers: registration requires a valid driving licence (with issue date), Aadhaar number, vehicle RC number, date of birth, profile picture, and vehicle type details (carrying capacity, maximum length). Delivery Partners must maintain valid insurance, registration, and license for their vehicle at all times. Delivery Partners operate as independent contractors, not employees of ConstructCo. Delivery Partners must keep the app active with location permissions enabled while online — going offline stops location tracking and order assignment. Delivery Partners are assigned orders automatically by the Platform based on proximity, vehicle type, and carrying capacity.

2A.4 Service Providers: registration requires display name, phone number, service categories, years of experience, languages spoken, service area (geographic address/geohash), and GSTIN (if applicable). Service Providers may create service listings with price ranges, service descriptions, and coverage areas, and are visible to Buyers browsing the services marketplace. Buyers may submit service inquiries, which the Service Provider can accept or decline. ConstructCo does not currently process payments for services — service transactions are between the Buyer and Service Provider directly. ConstructCo facilitates the connection only, and any problems that arise between the Buyer and Service Provider are strictly between them. Service Providers are responsible for the quality of their work; ConstructCo is not liable for service quality, outcomes, or disputes arising from service engagements. Verification of Service Providers does not constitute an endorsement or guarantee of service quality by ConstructCo.

3. ORDERS, PAYMENTS & TRANSACTIONS

All orders placed are subject to acceptance and availability. Payments must be completed and verified before processing an order. By providing payment information, you authorize ConstructCo and its payment partners to process transactions securely. We do not store your full payment details — only essential data for transaction verification and compliance is retained.

3A. Platform Fees, Commissions & TCS

3A.1 Platform Fee: ConstructCo charges a flat Platform Fee of ₹5 per order (inclusive of GST), paid by the Buyer at checkout, covering marketplace facilitation, payment processing, invoice generation, customer support, and access to the Platform's Buyer base.

3A.1b Seller Commission & Delivery Commission: in addition to the Buyer-paid Platform Fee, ConstructCo deducts a Seller commission of 10% of the order item subtotal from the Seller's payout, and a delivery commission of 5% of the delivery fee from the Delivery Partner's payout. Applicable GST is charged on these commissions, and all deductions are itemised in the Seller's / Delivery Partner's settlement statement.

3A.2 Commission GST: GST is applicable on Platform Fees and commissions charged by ConstructCo. The GST component is calculated separately and reflected in settlement statements provided to Sellers.

3A.3 Tax Collected at Source (TCS): as an e-commerce operator under Section 52 of the CGST Act, 2017, ConstructCo is legally required to collect TCS at 1% on the net value of taxable supplies made through the Platform (0.5% CGST + 0.5% SGST for intrastate transactions within Karnataka, or 1% IGST for interstate). TCS is deducted from the Seller's payout before settlement and deposited with GST authorities by the 10th of the following month. ConstructCo files GSTR-8 monthly, reporting all supplies made through the Platform and TCS collected. Sellers can claim TCS as Input Tax Credit (ITC) in their own GST returns (GSTR-2A/GSTR-3B) — TCS is not an additional tax burden, it is an advance tax collection that is fully creditable. Sellers are responsible for filing their own GST returns and reconciling TCS credits.

3A.4 Settlement: Seller payouts = Order Value minus Platform Fee, minus Commission, GST, minus TCS. Settlement timelines and methods are communicated to Sellers during onboarding. Settlement cycle: weekly. Delivery Partner earnings are tracked per delivery and settled per the applicable payout schedule.

3A.5 Fee Transparency: all fees, commissions, and deductions are visible to Sellers in their dashboard. Buyers see the product price, delivery fee, platform fee, and total amount (inclusive of GST) at checkout.

3A.6 Payment Methods: accepted payment methods include UPI, credit cards, debit cards, net banking, digital wallets, and EMI (where available). Payments are processed via Razorpay. Payment method availability may vary.

3A.7 Split Payments: order payments are split between multiple parties via Razorpay Route (linked-account transfers) — Seller payout, Delivery Partner payout, Platform Fee, and applicable taxes. Split payment records (amounts, account IDs, transaction logs) are maintained for reconciliation and audit. ConstructCo issues separate GST tax invoices for the product sale and for each ConstructCo charge (Platform Fee, Seller commission, delivery commission).

3A.8 Multi-Seller Orders: when a Buyer tries to add an item from a different shop to their cart, the Buyer is asked whether to replace the cart with the new item, as separate-shop orders in one cart are not allowed — the Buyer must place a separate order. Each Order is treated as an independent transaction with its own delivery fee, delivery assignment, and fulfilment timeline. One order may be fulfilled or cancelled without affecting others.

3A.9 GST Invoicing: GST-compliant invoices are automatically generated for every order. Invoices include CGST, SGST, or IGST breakdowns based on whether the transaction is intrastate or interstate. HSN/SAC codes are applied per product and service category.

3A.10 GST on Refunds: when an order is refunded (fully or partially), the GST component originally charged is refunded proportionally as part of the refund amount.

4. CANCELLATIONS & REFUNDS

Cancellation and refund requests will be handled in accordance with our Cancellation & Refund Policy, available on the Platform. Certain products and services may be non-refundable; such cases will be clearly indicated. Refunds, if applicable, will be processed within a reasonable timeframe through the original payment method (or alternative methods if necessary).

5. USER RESPONSIBILITIES & CONDUCT

You agree not to: engage in fraudulent, illegal, or harmful activities; misuse the Platform or interfere with its functionality; post false, misleading, or defamatory content. Any defamatory content without mediation/arbitration or settlement will not be tolerated and is liable for legal action. Vendors and sellers must provide valid business and government identification (e.g., GST details, KYC documents, bank details). Users must cooperate with law enforcement if required under applicable laws.

5A. Additional Conduct Terms

Users must not create multiple accounts or use another User's account without authorization. Users must not attempt to circumvent the Platform by arranging direct transactions with Sellers, Delivery Partners, or Service Providers contacted through the Platform. Delivery Partners must comply with all traffic and transport regulations while performing deliveries. Sellers must maintain accurate operational status (open/closed, hours, availability) — repeatedly accepting orders while unable to fulfill them may result in performance penalties (see Section 7A).

5B. Content Moderation

If content posted by a User is flagged as potentially false, misleading, or defamatory, ConstructCo will review the flagged content, notify the User who posted it, and may remove the content pending resolution. Users may appeal content removal decisions via the dispute resolution process in Section 12. Repeated violations may result in account suspension or termination.

6. INTELLECTUAL PROPERTY

All intellectual property on the Platform, including text, graphics, logos, and software, is owned by ConstructCo. You may not copy, modify, distribute, or reproduce our content without written consent.

6A. Seller and User Content

Sellers retain ownership of product photos, descriptions, and brand content they upload to the Platform. By uploading content, Sellers grant ConstructCo a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute such content for operating the marketplace, marketing the Platform, and promoting products listed on the Platform. This licence survives for the duration of the Seller's account and for 12 months after account deletion or product removal, to allow for reasonable wind-down of marketing materials. Sellers may request removal of their content from marketing materials by contacting support — ConstructCo will use reasonable efforts to comply within 30 days.

7. PRIVACY & DATA USE

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, store, and process your data. By using the Platform, you consent to the data practices outlined in our Privacy Policy.

7A. Seller Performance & Penalties

ConstructCo tracks the number of Seller-initiated order cancellations per Seller Shop. Excessive Seller cancellations may result in: mandatory review at 5 cancellations within a 20-order window; temporary reduction in search visibility/ranking; temporary suspension of the Seller Shop; or permanent removal from the Platform for repeated violations. Product listings may be edited, individually flagged, and removed if found to be visually unappealing, inaccurate, misleading, or in violation of these Terms. Products with persistent out-of-stock status may be deprioritized in search results. Sellers flagged for suspension or removal will be notified with the specific reason and given an opportunity to respond before permanent action is taken, and may appeal through the dispute resolution process in Section 12.

7A.5 Data Transfers

Your data is primarily stored and processed on servers located in Germany (European Union), hosted by Netcup GmbH. Germany is subject to the EU General Data Protection Regulation (GDPR), which provides robust data protection standards. All data transferred to and stored on these servers is encrypted in transit (TLS) and at rest. Other service providers listed in Section 3A may also process limited personal data outside India. By using ConstructCo, you consent to these cross-border transfers.

8. THIRD-PARTY SERVICES

We may use third-party services such as analytics providers, payment gateways, delivery partners, and marketing firms. By using the Platform, you consent to the sharing of necessary information with these partners as described in the Privacy Policy.

8A. Service Providers

The Platform relies on third-party service providers in the following categories, each receiving only the data necessary for its function: payments & payouts (e.g. Razorpay); identity/KYC verification (Aadhaar, GSTIN, driving licence, vehicle registration); messaging & notifications (e.g. WhatsApp) and push notifications; maps, address lookup, and routing; cloud hosting, content delivery, and security. These providers are governed by their own terms and privacy policies. ConstructCo is not responsible for third-party service availability, performance, or data practices beyond what is within our control.

9. LIMITATION OF LIABILITY

ConstructCo acts as an intermediary and is not responsible for the quality, safety, legality, or delivery of goods sold by vendors. We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform. You agree to indemnify and hold harmless ConstructCo, its employees, and affiliates from any claims or disputes arising out of your use of the Platform.

9A. Additional Liability Terms

ConstructCo is not liable for the quality, outcomes, or timeliness of services provided by Service Providers facilitated through the services marketplace. ConstructCo's maximum aggregate liability for any claim arising from or related to the Platform is limited to the value of the specific transaction giving rise to the claim. ConstructCo is not liable for delivery delays, SLA breaches, or failed deliveries, though the Platform monitors these metrics for service improvement.

10. TERMINATION OF ACCOUNTS

ConstructCo retains certain user information even after an account is deleted — specifically data interconnected with other users' information, such as order details and invoices. For example, if a Buyer deletes their account, Sellers retain access to the Buyer's name, email, order dates, and purchase history to ensure transparency and accurate record-keeping for completed transactions; conversely, if a Seller deletes their account, Buyers can continue viewing the Seller's shop name and order invoices associated with their orders.

This limited retention is essential for legal purposes, including compliance with applicable laws that mandate preserving business records for a minimum period. It also maintains transparency between users by upholding the integrity of transactional histories, fostering trust and accountability in the Platform's operations. Additionally, these records support security measures such as resolving disputes, preventing fraud, and enabling safety protocols during investigations or legal obligations. ConstructCo protects user privacy while meeting regulatory and operational obligations. Deleted account emails cannot be reused to create a new account.

10A. Additional Termination Terms

Users may delete their account at any time via account settings in the app, confirming deletion by entering the OTP sent to their registered phone number via WhatsApp (the Platform uses OTP-based authentication; it does not use passwords). Upon deletion, the account is deactivated (soft-deleted) and marked with a deletion timestamp; personal data is progressively anonymized, subject to the retention requirements below. Transaction, order, and invoice data (including GST filings, TCS records) is retained for a minimum of 6 years as required under Indian tax law. KYC documents (Sellers, Delivery Partners, Service Providers) are retained for 6 years post-deletion for fraud prevention and legal compliance. Delivery tracking data is retained for 2 years for dispute resolution. Personal data not required for the above purposes is anonymized within 90 days of account deletion.

ConstructCo may suspend or terminate accounts for: violation of these Terms; fraudulent activity or suspected fraud; excessive Seller cancellations exceeding defined performance thresholds (see Section 7A); excessive Buyer return rates (5 orders within a 20-order window); provision of false KYC or business documents; or non-compliance with applicable laws. Users will be notified of the reason for suspension/termination and may appeal via the dispute resolution process in Section 12. During suspension, access to the Platform is restricted but data is retained. Permanent termination follows the same data retention rules as voluntary deletion.

11. CHANGES TO TERMS

ConstructCo may update these Terms from time to time. Any changes will be posted on the Platform, and continued use will signify acceptance of the updated Terms. Material changes will be communicated via Platform notification. Pending orders and active transactions at the time of a Terms update will be governed by the Terms version in effect at the time the order was placed.

12. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to mediation/arbitration in the city of Bangalore, in the state of Karnataka. Any legal disputes taken further shall be in the jurisdiction/courts of Bangalore, Karnataka.

12A. Detailed Dispute Resolution Process

All disputes should first be raised via the in-app support system: Level 1, Customer Support (initial response within 24 hours); Level 2, Supervisor Review (escalated if Level 1 does not resolve within 48 hours); Level 3, Management Review (escalated if Level 2 does not resolve within 7 days). If internal resolution and mediation are unsuccessful, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually agreed upon by both parties (if no agreement is reached within 15 days, the arbitrator shall be appointed in accordance with the Act). The seat of arbitration shall be Bangalore, Karnataka, and the language of arbitration shall be English. Each party shall bear its own costs unless the arbitrator directs otherwise. Nothing in these Terms limits your right to approach consumer forums under the Consumer Protection Act, 2019, or exercise statutory rights under applicable Indian law.

These Terms comply with applicable Indian laws including the Consumer Protection Act, 2019; the Consumer Protection (E-Commerce) Rules, 2020; the Digital Personal Data Protection Act, 2023; the Information Technology Act, 2000; the GST Act (CGST, SGST, IGST Acts); and applicable RBI guidelines for digital payments.

13. NOTIFICATIONS & COMMUNICATIONS

ConstructCo sends push notifications and WhatsApp messages for essential service communications including OTP/login, order confirmations, Delivery Partner assignment, delivery tracking updates, payment confirmations, cancellation notices, and support responses. These cannot be opted out of while using the Platform.

Promotional notifications (offers, new features, marketing) require separate opt-in consent as required under the DPDP Act, 2023. You may opt out at any time via device settings or in-app notification preferences without affecting your use of the Platform.

14. FORCE MAJEURE

Neither ConstructCo nor any User shall be liable for failure to perform obligations under these Terms if such failure results from events beyond reasonable control, including: natural disasters, pandemics, epidemics, or acts of God; government actions, regulations, curfews, lockdowns, or restrictions; labour strikes, transportation disruptions, or supply chain failures; Platform infrastructure outages including server downtime, payment gateway failures, or failures of third-party service providers; and cyberattacks, data breaches, or security incidents beyond reasonable preventive measures. During force majeure events, affected obligations are suspended for the duration of the event. ConstructCo will notify Users of material disruptions via Platform notifications and/or email.

16. ADVERTISING / PROMOTED LISTINGS (SELLERS)

Sellers may purchase "boosts" to promote their shop, a category, or specific products for a fixed duration. Boost pricing and duration are shown before purchase and paid via Razorpay. Boosting increases the placement/visibility of a Seller's listings within Buyer search and browse results (shown as sponsored/promoted); it does not alter product prices. Advertising/boost purchases are digital services and are non-refundable once active (see the Cancellation & Refund Policy). ConstructCo may decline, pause, or remove boosted content that violates these Terms or content standards.
